Brilliant Hires Terms of Services

1.1 These Terms of Service (“Terms”) govern your access to and use of the Brilliant Hires platform, including our website, mobile applications, and all related tools, services, and content (collectively, the “Platform”). By accessing or using the Platform, whether as a job candidate, employer, or visitor, you are entering into a legally binding agreement with Brilliant Hires Inc. (“Brilliant Hires,” “we,” “us,” or “our”).

1.2 Scope of Services

The purpose of these Terms is to clearly define the rights, responsibilities, and obligations of all users of the Platform. They apply to every interaction you have with Brilliant Hires—from creating a profile, posting a job, applying to a role, or using any communication or search features we provide.

These Terms work in conjunction with our Privacy Policy & Cookie Policy, which explain how we collect, use, and protect your personal data and manage tracking technologies. By agreeing to these Terms, you also acknowledge that you have read and understood those related policies, which form an integral part of your agreement with us.

You should read these Terms carefully. If you do not agree to abide by them, you may not use the Platform or any of its associated services.

 

Brilliant Hires provides a digital platform designed to connect job seekers (“Candidates”) with employers and hiring organizations (“Employers”). Our services include, but are not limited to:

  • Job Listings: Employers can create, publish, and manage job postings across a range of industries and locations.

  • Candidate Profiles: Job seekers can create detailed professional profiles including experience, education, skills, projects, and awards to showcase their qualifications.

  • Search and Matching Tools: Both Candidates and Employers may use intelligent filters and search algorithms to discover relevant opportunities or talent.

  • In-Platform Messaging: Verified users can communicate directly through secure messaging tools, depending on their subscription level or plan features.

  • Reviews and Ratings: Candidates and Employers may leave feedback about one another based on direct engagement, subject to platform guidelines.

  • Premium Plans: Paid subscription tiers provide access to enhanced features such as featured listings, resume downloads, candidate following, profile boosting, and additional messaging capacity.

  • Mobile Access: All core functionalities are accessible through mobile-optimized versions of the platform or our official mobile applications, where available.

  • APIs and Integrations: Select users may access external tools or integrations to automate job posting or data syncing, subject to additional terms.

The Platform is continually evolving. From time to time, we may introduce new services or discontinue existing ones, and these Terms will apply to all such offerings unless stated otherwise.


1.3 Acceptance of Terms

By accessing, browsing, creating an account on, or using any part of the Brilliant Hires Platform, you confirm your agreement to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization.

You may be required to affirmatively accept these Terms during registration or at another point of engagement by clicking an “I Agree” button or checkbox. However, continued use of the Platform following any updates to these Terms also constitutes acceptance of the current version.

You may not use the Platform if you are under the minimum legal working age in your jurisdiction or if you are otherwise legally prohibited from entering into a binding agreement. By using the Platform, you confirm that you meet these eligibility criteria.

2. Eligibility and Account Creation

2.1 Minimum Age & Legal Capacity

To register for and use the Brilliant Hires Platform, you must be at least 16 years old or the minimum legal working age in your jurisdiction, whichever is higher. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement with Brilliant Hires.

If you are accessing or using the Platform on behalf of a company or other legal entity, you also represent and warrant that you have the authority to bind that entity to these Terms.

We reserve the right to suspend or delete any account that we reasonably believe has been created or used in violation of this section.


2.2 Registration Obligations

To access most features of the Platform, you must create an account by providing complete, current, and accurate information. You agree to:

  • Maintain the accuracy of your account information at all times

  • Create only one account per individual or one authorized account per company

  • Keep your login credentials secure and confidential

  • Notify us immediately of any unauthorized use of your account or suspected breach of security

You are solely responsible for all activities that occur under your account. Brilliant Hires is not liable for any loss or damage arising from your failure to comply with these obligations.

Accounts may not be sold, transferred, or assigned without our prior written consent.


2.3 Account Types (Candidate vs Employer)

Brilliant Hires offers two primary types of user accounts:

Candidate Accounts

These accounts are intended for individual job seekers and allow users to:

  • Create and maintain a professional profile

  • Apply to job listings

  • Receive messages from employers

  • Save jobs and set up alerts

  • Upgrade to premium visibility through paid features

Employer Accounts

These accounts are designed for businesses and authorized recruiters. They provide functionality to:

  • Post, edit, and manage job listings

  • Browse and search for candidates

  • Message candidates based on plan eligibility

  • View applicant details and schedule interviews

  • Subscribe to multi-tiered hiring packages

Each account type offers distinct features and access levels. Users must select the appropriate account type during registration and may upgrade their account as needed. Misrepresenting your account type or usage may result in suspension or termination.

3. User Responsibilities

All users of Brilliant Hires are expected to conduct themselves in a manner that maintains the integrity, security, and usefulness of the Platform. This section outlines specific responsibilities for both Candidates and Employers, as well as platform-wide rules of conduct that apply to all users.


3.1 Candidate Responsibilities

As a Candidate using Brilliant Hires, you agree to:

  • Provide truthful and accurate information in your profile, including your employment history, education, skills, certifications, and other credentials.

  • Ensure that all uploaded resumes, project descriptions, and portfolio materials are your own and represent your actual experience.

  • Apply only to positions for which you are reasonably qualified and avoid mass-applying or spamming employers with irrelevant applications.

  • Use the Platform solely for job-seeking purposes and in accordance with applicable employment laws in your jurisdiction.

  • Respond to legitimate employer communications in a timely and professional manner.

You are responsible for maintaining the quality and accuracy of your profile, and for conducting all interactions on the Platform in good faith.


3.2 Employer Responsibilities

As an Employer using Brilliant Hires, you agree to:

  • Post truthful, clear, and legally compliant job listings, including accurate job descriptions, required qualifications, and compensation where applicable by law.

  • Ensure that all information associated with your company or organization, including name, logo, website, and contact details, is current and accurate.

  • Treat all candidates fairly and without discrimination based on race, gender, age, religion, disability, or any other protected characteristic under applicable law.

  • Comply with all local, national, and international labor laws, including wage laws, hiring regulations, and data privacy obligations.

  • Respond to applications and direct candidate communications promptly and respectfully.

  • Use candidate data exclusively for recruitment purposes, and only within the scope of your job listings and hiring activities.

Failure to meet these responsibilities may result in limitations to your account or suspension from the Platform.


3.3 Prohibited Conduct (Global)

To maintain the safety, trust, and functionality of the Brilliant Hires community, all users regardless of account type agree not to:

  • Scrape, harvest, or extract data from the Platform using bots, scripts, or automated tools.

  • Attempt to reverse engineer, decompile, or gain unauthorized access to any part of the Platform, its source code, or its underlying systems.

  • Harass, threaten, or abuse any other user through messages, reviews, applications, or other interactions.

  • Submit or solicit false reviews, misleading endorsements, or other content intended to deceive users or manipulate platform rankings.

  • Send bulk, unsolicited, or promotional messages that are irrelevant or violate another user’s privacy.

  • Upload or distribute content that contains malware, spyware, or harmful software.

  • Impersonate another person, misrepresent your affiliation with an entity, or use the Platform for fraudulent purposes.

  • Interfere with or disrupt the functionality of the Platform or the experience of other users.

Brilliant Hires reserves the right to monitor activity and take enforcement actions, including warnings, content removal, account suspension, or permanent bans, in response to any breach of these responsibilities.

4. Job Posting and Application Rules

Brilliant Hires is designed to create a transparent, respectful, and compliant hiring environment for both Candidates and Employers. To maintain quality and trust, we have established clear rules for posting jobs and submitting applications on the Platform.


4.1 Job Posting Standards

Employers are required to adhere to the following guidelines when creating and publishing job listings:

  • Required Fields: All job posts must include a clear and specific job title, a complete description of responsibilities, required qualifications, location (or remote designation), and company contact information.

  • Salary Transparency: Where required by local laws or regulations, salary or compensation ranges must be disclosed accurately. Employers are encouraged to include this information even where it is not legally mandated to promote fair hiring practices.

  • Prohibited Content: Job listings must not contain false or misleading claims, discriminatory language, or requests for sensitive personal information (such as national identification numbers or bank details) prior to a formal hiring stage.

  • Listing Validity: All job postings must represent real, active opportunities. Listings must not serve as generic talent pools, data collection mechanisms, or misleading promotions.

  • Expiration and Renewal: Each job post is assigned an automatic expiration date based on your subscription plan. You are responsible for renewing or updating the listing if the position remains open beyond the expiry period.

Brilliant Hires may modify, reject, or suspend job listings that do not comply with these standards.


4.2 Application Processes

Candidates apply to jobs directly through the Platform. The process includes the following steps:

  • Application Submission: Candidates submit applications by clicking the “Apply” button on a job post and may be prompted to include a resume, cover letter, or responses to screening questions.

  • Automated Screening: Some job postings may include automated filters to assess applications based on skill matches, experience, or custom employer criteria.

  • Employer Access: Once an application is submitted, the Employer has full access to the Candidate’s profile, submitted documents, and any in-platform correspondence.

  • Status Updates: While employers are encouraged to keep applicants informed, not all employers will provide application status updates. Candidates can track the status of their applications from their Brilliant Hires dashboard.

Candidates are encouraged to apply only for roles where they meet the core requirements, and to submit honest, well-prepared application materials.


4.3 Review and Removal

Brilliant Hires reserves the right, at its sole discretion, to review, moderate, and remove job listings that violate these Terms, any applicable laws, or community standards. This includes, but is not limited to:

  • Fraudulent or misleading job posts

  • Discriminatory or offensive content

  • Positions that violate labor or employment regulations

  • Listings reported by users for violating platform rules

We also reserve the right to temporarily suspend posting privileges or permanently disable employer accounts that repeatedly fail to comply with our standards or engage in harmful activity.

All moderation decisions are made in the interest of maintaining a safe, professional, and lawful environment for all users.

5. Subscriptions, Fees, and Payments

Brilliant Hires offers a range of subscription plans designed to meet the needs of both job seekers and employers. This section outlines how our paid features work, including billing practices, plan terms, and refund policies.


5.1 Plan Descriptions

Brilliant Hires provides both free and paid plans. Each plan comes with its own set of features and limitations based on the user type.

For Employers

  • Free Plan: Allows posting of a limited number of jobs per month with basic applicant management tools.

  • Essential Plan (Monthly): Includes multiple job postings, candidate follows, and resume downloads, with limited featured job slots.

  • Standard Plan (Monthly): Offers increased job posting and featuring limits, higher resume access, and extended candidate engagement features.

  • Executive Plan (Annual): Designed for high-volume hiring with maximum posting, unlimited engagement tools, and premium support.

For Candidates

  • Free Plan: Create and manage a complete professional profile, apply to unlimited job listings, and use core job search features such as filtering and bookmarking. Ideal for candidates starting their search.

  • Access Plan(Monthly): Unlock additional search functionality, including extended job filters, advanced directory browsing, and early access to select job listings.

  • Explorer Plan(Monthly): Designed for active job seekers who want broader reach and insights. Includes everything in Access, plus profile engagement statistics and the ability to follow a higher amount of companies & wishlist more jobs.

  • Top Talent Plan (Annual): Our most premium candidate tier. Offers prioritized profile placement in search results, enhanced visibility to employers, unlimited jobs wishlist, follow unlimited companies, view company contact details, and the ability to initiate direct messages to hiring companies. This plan is billed annually and is ideal for professionals seeking high-exposure opportunities or confidential searches.

Candidates may upgrade or downgrade plans at any time through their dashboard. Plan features and pricing are subject to change with prior notice.

All paid subscriptions automatically renew based on the plan cycle monthly or annually unless cancelled in accordance with Section 5.3.


5.2 Billing Terms

By purchasing a paid plan, you agree to the following billing terms:

  • Recurring Charges: Subscriptions are billed automatically at the beginning of each billing cycle (monthly or annually) to the payment method provided.

  • Proration: Upgrading or downgrading a subscription during a billing cycle may result in a prorated charge or credit, applied in the next billing cycle.

  • Currency: All prices are listed and charged in the currency specified at the time of purchase. Any conversion fees are the responsibility of the user.

  • Taxes: You are responsible for any applicable taxes, including VAT or sales tax, based on your location. These may be added to your bill during checkout.

  • Payment Method: You must provide a valid and authorized payment method. Failure to process a payment may result in account suspension or service interruption.

You can update or manage your billing preferences at any time from your account settings.


5.3 Refunds and Cancellations

Refund policies vary depending on the plan type and usage:

  • Subscription Cancellations: You may cancel your subscription at any time. Your access will continue until the end of the current billing period, after which the plan will not renew.

  • Refund Eligibility: Refunds may be granted in limited circumstances at our sole discretion, such as in cases of duplicate charges or platform service failure.

  • Non-Refundable Items: One-time services, used resume downloads, or partially consumed subscriptions are generally non-refundable.

  • Free Trials: If your plan began with a free trial, charges will begin at the end of that trial unless you cancel before the trial period expires.

6. Content Ownership and Licences

Brilliant Hires respects the intellectual property rights of all users and expects the same in return. This section outlines the ownership and usage rights related to user-generated content and content provided by Brilliant Hires.


6.1 User-Generated Content (UGC)

As a user of the Platform, you may upload or submit content such as resumes, profile information, job listings, project descriptions, messages, reviews, and other materials (“User Content”). You retain full ownership of any intellectual property rights that you hold in your User Content.

By submitting or posting User Content on Brilliant Hires, you grant us a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable licence to use, display, reproduce, distribute, adapt, publicly perform, and publish your content solely for the purpose of operating, promoting, and improving the Platform and its services. This licence allows us, for example, to display your candidate profile to employers, include job listings in search results, or show reviews on company pages.

You are solely responsible for the User Content you submit and must ensure that it does not infringe the rights of others or violate any applicable laws. We reserve the right to remove or restrict any content that breaches these Terms or that we believe may expose us or our users to legal risk.


6.2 Platform Content

All content provided by Brilliant Hires, including but not limited to the site design, logos, trademarks, graphics, text, software code, algorithms, databases, and underlying technology (“Platform Content”), is the exclusive property of Brilliant Hires Inc. or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

Except as expressly permitted in these Terms or with prior written authorization, you may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform Content

  • Use any branding, logos, or trademarks without our prior written permission

  • Access or use the Platform Content in any manner not explicitly allowed under these Terms

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform and Platform Content for your own personal or internal business use, strictly in accordance with these Terms.

Any unauthorized use of Platform Content constitutes a violation of these Terms and may result in legal action.

7. Messaging and Communication Tools

Brilliant Hires provides communication features that enable Candidates and Employers to interact directly through the Platform. These tools are designed to facilitate safe, professional, and relevant exchanges between parties while protecting user privacy and maintaining platform integrity.


7.1 In-Platform Messaging

The Platform includes secure messaging tools that allow verified Candidates and Employers to communicate directly regarding job listings, applications, and professional engagement.

By using in-platform messaging, you agree to the following:

  • Usage Limits: Your ability to initiate or respond to messages may depend on your subscription level. For example, only users on certain plans may initiate first-contact messages.

  • Content Standards: Messages must be relevant, respectful, and job-related. Misuse of messaging such as unsolicited promotions, spam, harassment, or off-topic content is strictly prohibited.

  • Monitoring and Moderation: To ensure safety and compliance with these Terms, messages may be subject to automated moderation and review.

  • Sharing Contact Information: Sharing off-platform contact details (such as personal email addresses or phone numbers) is permitted only if explicitly allowed under your subscription plan or during an active hiring interaction.

  • Responsibility for Conduct: You are solely responsible for the content you send and any consequences resulting from your communications.

Brilliant Hires may suspend or restrict messaging privileges for any user found to be misusing this feature.


7.2 Email & Push Notifications

By registering with Brilliant Hires, you consent to receive emails and, where applicable, push notifications that are necessary for operating your account and delivering core services. These include:

  • Job application confirmations

  • Profile views or candidate activity alerts

  • Important account updates and service-related notices

In addition, you may choose to receive:

  • Job alerts and recommendations tailored to your profile or search criteria

  • Newsletters and career tips

  • Promotional content related to subscription upgrades or new features

You can manage your communication preferences at any time by:

  • Adjusting your notification settings in your user dashboard

  • Clicking the “unsubscribe” link included in any non-essential marketing email

  • Contacting our support team if you require assistance with notification controls

All marketing communications are sent only in accordance with your consent, as outlined in our Privacy Policy.

8. Reviews and Ratings

Brilliant Hires allows Candidates and Employers to leave reviews based on their direct experiences with one another. This feature is intended to foster transparency, accountability, and informed decision-making across the hiring process. To maintain the integrity of this system, all reviews must follow the guidelines and moderation standards outlined below.


8.1 Review Guidelines

Users are encouraged to submit fair and honest feedback that reflects their genuine interactions on the Platform. When posting a review or rating, you agree to:

  • Share only authentic experiences you personally had as a Candidate or Employer.

  • Avoid any content that is defamatory, abusive, or discriminatory, or that includes personal attacks, threats, or inappropriate language.

  • Disclose any conflicts of interest, such as reviewing a company you are currently employed by or a candidate with whom you have a personal relationship.

  • Ensure that your review is fact-based and relevant to the specific hiring or application process.

  • Not use reviews to manipulate reputation scores or harass other users.

Brilliant Hires reserves the right to flag or restrict reviews that are suspected to be fraudulent, misleading, or in violation of these Terms.


8.2 Moderation Rights

Brilliant Hires reserves full discretion to moderate, edit, or remove any reviews or ratings that:

  • Violate our content standards or community guidelines

  • Contain false, misleading, or unverifiable information

  • Include personal data, confidential information, or third-party intellectual property

  • Are deemed abusive, threatening, or intended to harass

  • Are submitted as part of a pattern of review manipulation or retaliation

Moderation actions may be taken without notice, and repeated violations may result in suspension or termination of the user’s account. While we strive to maintain transparency in the review system, we are not obligated to publish or retain any review submitted to the Platform.

Users are encouraged to report reviews they believe violate our guidelines so they can be reviewed in accordance with this policy.

9. Privacy Reference

9.1 Link to Privacy Policy

Your use of the Brilliant Hires Platform is also governed by our Privacy Policy, which explains in detail how we collect, use, store, share, and protect your personal data.

By using the Platform, you acknowledge and agree that your personal information including information provided during registration, job applications, profile creation, and communication with other users, will be handled in accordance with that policy.

The Privacy Policy outlines:

  • What types of data we collect and why

  • How we use and share your information

  • Your rights and choices regarding your data

  • Security practices and retention periods

  • How to contact us with privacy-related questions or requests

We strongly encourage all users to review the Privacy Policy in full before using the Platform.

10. Acceptable Use Policy

All users of Brilliant Hires are expected to use the Platform in a lawful, respectful, and technically responsible manner. This Acceptable Use Policy outlines the types of behavior and activity that are strictly prohibited to ensure a safe and equitable experience for all members of the Brilliant Hires community.


10.1 Technical Restrictions

To protect the integrity and performance of the Platform, users may not engage in any activity that compromises system functionality, security, or fairness. Specifically, you agree not to:

  • Use automated systems such as bots, scrapers, crawlers, or scripts to collect data or access any portion of the Platform without prior written permission.

  • Engage in denial-of-service (DoS), distributed denial-of-service (DDoS), or other activities intended to disrupt or overload the Platform or its users.

  • Attempt to bypass authentication systems, access non-public areas of the Platform, or probe for vulnerabilities through penetration testing or reverse engineering.

  • Access, use, or distribute the Platform’s APIs, databases, or internal systems without proper authorization or outside of approved integration channels.

  • Introduce or attempt to introduce malware, viruses, or other harmful code.

Violations of these restrictions may result in immediate suspension or termination of access, and may be reported to relevant authorities where appropriate.


10.2 Community Standards

Brilliant Hires is committed to fostering a professional and inclusive environment. All users are expected to uphold the following standards when creating content, communicating with others, or engaging with any part of the Platform:

  • No hate speech or discriminatory content based on race, ethnicity, religion, gender, sexual orientation, disability, age, or any other protected characteristic.

  • No harassment, bullying, or intimidation of other users through messages, reviews, job posts, or public content.

  • No sexually explicit, obscene, or offensive material may be uploaded, linked, or communicated through the Platform.

  • No impersonation, misrepresentation, or deceptive conduct, including creating fake accounts or providing false professional credentials.

  • No solicitation or promotion of illegal activities, or use of the Platform for fraudulent purposes.

We reserve the right to moderate, restrict, or remove content and accounts that violate these community standards, with or without notice.

11. Intellectual Property Infringement

11.1 DMCA or Comparable Procedure

Brilliant Hires respects the intellectual property rights of others and expects all users of the Platform to do the same. We respond to clear and properly formatted notices of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws.

Takedown Notices

If you believe that your copyrighted or trademarked work has been used or displayed on the Platform in a way that constitutes infringement, you may submit a written takedown notice to our designated agent. Your notice must include the following:

  1. A physical or electronic signature of the person authorized to act on behalf of the owner of the intellectual property right.

  2. A description of the copyrighted work or trademark that you claim has been infringed.

  3. A specific description of where the infringing material is located on the Platform (e.g., the exact URL).

  4. Your full name, mailing address, telephone number, and email address.

  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright/trademark owner, its agent, or the law.

  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright/trademark owner or authorized to act on their behalf.

Counter-Notice Process

If your content was removed or disabled in response to a takedown notice and you believe this was done in error or that your use qualifies as fair use or is otherwise lawful, you may submit a counter-notice. Your counter-notice must include:

  1. Your physical or electronic signature.

  2. Identification of the material that has been removed or to which access has been disabled, and the location where it appeared before removal.

  3. A statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification.

  4. Your full name, mailing address, telephone number, and a statement that you consent to the jurisdiction of the appropriate federal court (or similar local authority) and that you will accept service of process from the original complainant.

We may reinstate the content if the original complainant does not file a legal action within 10 business days of receiving your counter-notice.


Repeat Infringer Policy

In accordance with the DMCA and other applicable laws, Brilliant Hires has adopted a policy of terminating, in appropriate circumstances, accounts of users who are repeat infringers of intellectual property rights. We also reserve the right to disable or limit access to the Platform by any user who engages in infringing activity, whether or not repeat infringement is established.

12. Third-Party Links and Integrations

Brilliant Hires may contain links to external websites and offer integrations with third-party services to enhance your user experience. These third-party resources operate independently of Brilliant Hires and are governed by their own terms and privacy practices.


12.1 External Sites

The Platform may include hyperlinks or references to third-party websites, services, or content (collectively, “Third-Party Sites”) that are not owned or controlled by Brilliant Hires. These may include links in job postings, company profiles, candidate portfolios, or other areas of the Platform.

We do not endorse or assume any responsibility for the content, privacy policies, practices, or accuracy of any Third-Party Sites. Accessing these sites is done at your own risk, and you should review their applicable terms and policies before engaging with them.

Brilliant Hires disclaims all liability for any harm or loss arising from your use of or reliance on Third-Party Sites.


12.2 Integrated Services

Brilliant Hires may allow you to link or sign in to your account using third-party authentication services such as Google or LinkedIn, or to connect certain services (e.g., applicant tracking systems or job publishing APIs) to streamline your workflow.

By choosing to connect a third-party service, you acknowledge and consent to:

  • The exchange of information between Brilliant Hires and the integrated service provider, which may include your name, profile picture, email address, job history, or professional network details.

  • Brilliant Hires using that information to enhance your profile, support login functionality, or streamline your hiring or application experience.

  • Complying with the terms of use and privacy policies of the third-party service, which govern your relationship with that provider.

You may disconnect any integrated service at any time through your account settings. However, doing so may affect the availability or performance of certain features on the Platform.

13. Disclaimers and Warranties

13.1 Platform “As-Is” Notice

The Brilliant Hires Platform is provided on an “as-is” and “as-available” basis, without warranties of any kind express, implied, or statutory. While we strive to maintain a high-quality, secure, and continuously available service, we do not guarantee that the Platform will operate without interruption, be error-free, or meet your specific expectations at all times.

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

  • Any warranties arising from course of dealing, usage, or trade

  • Any guarantees that job matches, applications, or postings will lead to specific hiring outcomes

Brilliant Hires does not vet or verify every Employer or Candidate beyond the scope of available platform tools such as verification badges. We are not responsible for the conduct, qualifications, or authenticity of users, nor for the accuracy of job listings or professional profiles.

Users engage with each other at their own discretion and risk. We strongly recommend conducting independent due diligence before making hiring or career decisions based on information found on the Platform.

14. Limitation of Liability

14.1 Scope of Liability

To the fullest extent permitted by applicable law, Brilliant Hires Inc., including its directors, officers, employees, affiliates, agents, partners, or licensors, shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of revenue or profits

  • Loss of business or opportunities

  • Loss of data or goodwill

  • Business interruption

  • Personal injury or emotional distress

  • Any unauthorized access to or use of your data

These exclusions apply whether such damages arise under contract, tort (including negligence), statute, or otherwise even if we were advised of the possibility of such damages.

In any case, our total aggregate liability to you for any claims arising out of or relating to your use of the Platform or these Terms whether in contract, tort, or otherwise shall not exceed the greater of (a) the total fees you paid to us in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some or all of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

15. Indemnification

15.1 User Agreement to Indemnify

You agree to indemnify, defend, and hold harmless Brilliant Hires Inc., and its officers, directors, employees, affiliates, licensors, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses including reasonable legal and accounting fees arising out of or in any way connected with:

  • Your access to or use of the Platform

  • Your violation of these Terms or any applicable law or regulation

  • Any User Content you submit, post, upload, or transmit through the Platform

  • Your interactions with other users, including Candidates, Employers, or third parties

  • Any misrepresentation, breach of contract, or infringement of intellectual property or other rights by you

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses.

This obligation survives the termination of these Terms and your use of the Platform.

16. Termination and Suspension

Brilliant Hires reserves the right to maintain the integrity, safety, and lawful use of its Platform by allowing both users and the platform itself to end account access under certain conditions. This section explains how termination or suspension may occur and what it means for your data and access.


16.1 By Users

You may terminate your account at any time by logging into your dashboard and selecting the appropriate account closure option or by contacting our support team.

Upon termination:

  • Your account will be deactivated and no longer visible to other users.

  • Your profile, job listings, applications, messages, and other personal content will be removed or archived in accordance with our Privacy Policy.

  • Certain anonymized or aggregated data may be retained for analytical or legal compliance purposes, but it will no longer be associated with you personally.

Please note that terminating your account does not automatically cancel any active subscriptions. You must cancel recurring billing separately to avoid future charges.


16.2 By Brilliant Hires

We may suspend, restrict, or permanently terminate your access to the Platform at our sole discretion, with or without notice, if we determine that you have:

  • Violated these Terms or any other applicable policy

  • Provided false, misleading, or incomplete registration or profile information

  • Engaged in fraudulent, abusive, or harmful behavior toward other users

  • Used the Platform for unlawful purposes or to post prohibited content

  • Allowed your account to remain inactive for a prolonged period (e.g., 24 months), subject to notice

In cases of serious or repeated violations, we may disable your access immediately and without the opportunity to recover your data or appeal. Where legally required, we will notify you of the reason for the termination.

Brilliant Hires is not liable to you or any third party for any termination or suspension of your account or access to the Platform.

17. Governing Law and Dispute Resolution

Brilliant Hires is committed to fair, transparent, and accessible resolution of any disputes that may arise between users and the Platform. This section sets out the legal framework that governs the Terms and the steps to follow if a dispute occurs.


17.1 Applicable Law

These Terms, and any dispute or claim arising from or in connection with them or your use of the Platform, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

If you are accessing the Platform from outside Canada, you do so at your own risk and are responsible for compliance with local laws in your jurisdiction.


17.2 Informal Resolution

Before initiating any legal proceeding or formal dispute process, both you and Brilliant Hires agree to make a good-faith effort to resolve the issue informally by contacting our support team.

We aim to respond to all complaints or concerns within 30 days and will work collaboratively to address the matter in a constructive manner. Only if the issue cannot be resolved through informal discussion may either party proceed to formal resolution as outlined below.


17.3 Arbitration / Courts

Unless prohibited by applicable law, any disputes that cannot be resolved informally shall be exclusively submitted to the courts located in the Province of Ontario, and you consent to the personal jurisdiction of such courts for the purpose of litigating any such disputes.

If we offer or require arbitration for certain types of disputes in the future, we will present that option and its governing rules at that time. As of now, Brilliant Hires does not mandate arbitration, but reserves the right to offer it as an alternative dispute resolution mechanism where appropriate.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use or abuse of the Platform or violations of intellectual property rights.

18. Amendments to These Terms

18.1 Update Mechanism

Brilliant Hires may update or modify these Terms of Service from time to time to reflect changes in our services, legal obligations, user feedback, or evolving business practices. When we do, we will maintain transparency by indicating the “Last Updated” date at the top of this document.

We will provide advance notice of any material changes that may affect your rights or obligations under these Terms. Notice may be delivered through one or more of the following methods:

  • Posting a prominent notice on our website

  • Sending an email to your registered email address

  • Displaying an alert in your user dashboard upon login

Unless otherwise specified, updated Terms will take effect upon posting. Continued use of the Platform after changes have been posted constitutes your acceptance of the revised Terms.

If you do not agree to the new Terms, you may discontinue your use of the Platform and, if applicable, terminate your account in accordance with Section 16.

We encourage you to review the Terms periodically to stay informed of your rights and responsibilities.
